Lance Studio

Terms & Conditions

These terms explain how Lance Studio scopes, delivers, and charges for Shopify development and support services. By approving a quote, paying an invoice or Stripe checkout, or asking us to begin work, you agree to these terms.

1. About Lance Studio

Lance Studio is operated by Lance Zheng as an Australian sole trader, ABN 11 359 038 061, based in Melbourne, Victoria. You can contact us at info@lancestudio.com.au, by text message, or through the WhatsApp link published on this website.

2. Services and scope

Services may include Shopify theme work, store setup, troubleshooting, integrations, automation, audits, landing pages, and ongoing technical support. The agreed scope is the written task confirmation, estimate, quote, invoice, or plan description provided before work starts.

Anything outside that scope requires a new estimate or written approval. We may decline work that is unlawful, unsafe, outside our capability, or requires access or authority that has not been provided.

3. Estimates, quotes, and approval

Hourly estimates are good-faith forecasts, not fixed prices. If work is likely to exceed the approved estimate, we will pause where practical and request approval before continuing. Fixed project quotes apply only to the listed deliverables and assumptions.

Approval may be given by email, WhatsApp, Stripe payment, or another written channel used for the engagement.

4. Fees, GST, and payment

  • Prices are in Australian dollars and include GST unless stated otherwise.
  • Hourly support is $100 AUD per hour, with a 30-minute minimum and 15-minute increments after that, unless a different written quote applies.
  • Fixed projects are charged according to the accepted quote and payment schedule.
  • Monthly Support is billed in advance through Stripe and automatically renews each month until cancelled.
  • Approved work may be paused while an invoice is overdue. You are responsible for bank, currency-conversion, or third-party charges imposed by your own provider.

5. Monthly Support

Monthly Support is provided under the plan description shown at checkout. Essential includes 2 hours per billing period. Unlimited allows unlimited requests to be queued, with one active task at a time. Growth Partner adds priority queue handling, monthly planning, and a store health review. All plans are for one Shopify store unless agreed otherwise in writing.

Small tasks on Unlimited and Growth Partner usually receive a first delivery within 2 business days. Larger requests may be split into milestones and take longer depending on scope, access, third-party systems, and client approvals. A request means a focused outcome; new outcomes or changed requirements may be queued as separate tasks. Custom apps, major rebuilds, migrations, and complex integrations require a separate quote.

Essential hours are available only during that billing period and do not roll over unless we agree otherwise in writing. You may cancel future renewal at any time before the next billing date. Cancellation stops the next automatic charge; access to the current paid period continues until its end. Third-party subscriptions, platform fees, and vendor charges are not included.

6. Your responsibilities

  • Provide accurate instructions, relevant assets, deadlines, and acceptance criteria.
  • Provide your permanent myshopify.com URL and approve only the collaborator permissions required for the agreed work.
  • Do not send passwords, 2FA codes, full payment-card details, API secrets, or customer exports through the website or WhatsApp.
  • Review previews and respond to approval requests within a reasonable time.
  • Confirm that you have permission to supply all content, data, trademarks, images, and third-party accounts used for the work.

7. Access, testing, and publishing

Shopify access is requested through the official collaborator process with permissions limited to the agreed task. Where practical, theme changes are prepared and tested in a draft or duplicate theme. Some apps and third-party systems may not provide a separate test environment.

We will not intentionally publish material changes without your approval. You remain responsible for final business decisions, product information, prices, legal content, tax settings, customer communications, and operation of the store.

8. Third-party services

Shopify, Stripe, apps, themes, hosting providers, APIs, and other third-party services are controlled by their respective providers. Their fees, availability, security, policy changes, and failures are outside our control. We are not responsible for a third party changing or withdrawing its service, but we will explain any known impact on the agreed work.

9. Intellectual property

Once all related fees are paid, you own the custom deliverables created specifically for your store, excluding our pre-existing methods, reusable code, templates, tools, know-how, and third-party materials. We grant you a perpetual licence to use any embedded Lance Studio pre-existing material as part of the paid deliverable.

Third-party software, fonts, themes, images, and apps remain subject to their own licences. Unless you approve a public case study separately, we will not publish your confidential store information as marketing material.

10. Confidentiality and privacy

Each party must protect the other party’s confidential information and use it only for the engagement, except where disclosure is required by law or necessary to an approved service provider. Personal information is handled as described in our Privacy Policy.

11. Australian Consumer Law

Nothing in these terms excludes, restricts, or modifies any consumer guarantee, right, or remedy that cannot lawfully be excluded under the Australian Consumer Law. Services must be provided with due care and skill, be fit for an agreed purpose where the law applies, and be supplied within a reasonable time when no time is agreed.

12. Liability

To the extent permitted by law, neither party is liable to the other for indirect or consequential loss, lost profit, lost revenue, or lost opportunity. To the extent permitted by law, Lance Studio’s aggregate liability for an affected service is limited to the amount you paid for that service. These limitations do not apply where liability cannot lawfully be limited.

You should maintain appropriate store, theme, and data backups. We are not liable for a loss caused by inaccurate instructions, unauthorised changes by another party, or a third-party platform failure.

13. Shopify Launch Pack

The Shopify Launch Pack is a $999 AUD fixed-scope service including GST for a small business with 1–3 products. The final scope, required client inputs, access, and payment are confirmed in writing before work begins.

The Launch Pack covers Shopify store setup; a homepage or landing page; basic setup for 1–3 products; a contact page and form; navigation; domain connection; Shopify Payments or Stripe setup assistance; basic shipping, tax, and location setup; mobile optimisation; basic page titles, meta descriptions, and applicable image alt text; launch support; and one overall revision round.

Typical delivery is 3–5 business days after all required content and access have been provided. The client remains responsible for supplying accurate product and business information, approving payment, shipping, tax, location, policy, and launch decisions, and paying Shopify plan, domain, theme, app, and other third-party fees.

Advanced booking systems, CRM implementation, subscription systems, multi-language setup, multi-location or complex inventory systems, custom Shopify apps, advanced integrations, large product catalogues, and extensive custom development are outside the Launch Pack. Additional accepted work may be billed at $100 AUD per hour including GST or provided under a separate custom project quote, with approval before that work starts.

14. Ending an engagement

Either party may end an engagement by written notice. You must pay for approved work completed up to the end date. We will refund any amount paid for work we have not performed, subject to the Refund Policy. We may remove collaborator access when the engagement ends and you may revoke access at any time in Shopify.

15. Governing law and changes

These terms are governed by the laws of Victoria, Australia. The parties submit to the courts of Victoria and applicable Commonwealth courts. We may update these terms for future purchases; the version accepted when an engagement begins continues to govern that engagement unless both parties agree otherwise.
